Terms of Service

1. About NightWatch AI

NightWatch AI ("we," "us," or "our") provides an automated competitor monitoring service. We scrape publicly available web pages on your behalf and send you AI-generated briefings summarizing detected changes. By creating an account or using our service, you agree to these terms.

2. Eligibility

You must be at least 18 years old and have the legal authority to bind your organization to these terms. You are responsible for ensuring that your use of the service complies with all applicable laws in your jurisdiction.

3. Service Description

NightWatch AI performs daily automated scrapes of the competitor URLs you provide. When content changes are detected between runs, we generate an AI briefing and deliver it by email to your registered address.

We do not guarantee that every change will be detected, that scrapes will always succeed, or that briefings will be error-free. The service is provided continuously but may be interrupted by maintenance, infrastructure issues, or third-party service availability.

4. AI-Generated Content Disclaimer

Briefings are generated using large language models (OpenAI). The summaries, analyses, and insights in any briefing:

• Are generated by an automated system, not a human analyst, and may contain inaccuracies or omissions.
• Should not be the sole basis for significant business decisions without independent verification.
• Do not constitute legal, financial, or professional advice.
• May reflect biases inherent in the underlying AI model.

You use AI-generated briefings at your own risk. We do not warrant the accuracy, completeness, or fitness for any purpose of any briefing content.

5. User Responsibilities

You agree to:

• Use the service only for lawful competitive intelligence on businesses where you have a legitimate business interest.
• Not use the service to scrape pages behind login walls, paywalls, CAPTCHAs, or any page that prohibits automated access under its robots.txt or terms of service.
• Not republish, redistribute, or resell briefings or scraped content to third parties.
• Keep your account credentials secure and promptly notify us of any unauthorized access.
• Ensure the competitor URLs you monitor are publicly accessible and that you have the right to monitor them.

6. Acceptable Use

You may not use NightWatch AI to:

• Monitor personal websites, private social media accounts, or any resource you do not have permission to monitor.
• Build a competing product, competitive dataset, or derivative service using our infrastructure.
• Attempt to circumvent rate limits, blocklists, CAPTCHA barriers, or access restrictions on third-party sites.
• Use the service in any manner that could damage, disable, overburden, or impair our systems.

7. Subscriptions & Billing

NightWatch AI is a subscription service. Pricing is displayed on our pricing page and is subject to change with 30 days' notice to existing subscribers.

• Subscriptions are billed monthly in advance on the date of your initial signup.
• All fees are non-refundable except as required by law.
• If a payment fails, we will attempt to collect it again. After 3 failed attempts over 10 days, your account may be suspended.
• You authorize us to charge your payment method on a recurring basis until you cancel.

8. Cancellation Policy

You may cancel your subscription at any time from your account settings or by emailing support@nightwatch-ai.com.

• Cancellations take effect at the end of the current billing period — we do not prorate cancellations mid-cycle.
• You will retain access to the service through the end of your paid billing period.
• After cancellation, your account data is retained for 30 days before being permanently deleted, unless we are legally required to retain it longer.

9. Data Retention

We retain the following:

• Competitor URLs and scraped snapshots: retained for 90 days after you remove the competitor or cancel your subscription.
• Briefing history: retained for 12 months from the date of generation.
• Account data (email, billing): retained for 5 years after account closure for legal and tax compliance.

10. Limitation of Liability

NightWatch AI is provided "as is" and "as available." We make no warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or business opportunities — arising from your use of the service, regardless of the theory of liability.

Our total aggregate liability for any claim arising from these terms shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless NightWatch AI and its operators from any claims, damages, or expenses (including legal fees) arising from your use of the service, your violation of these terms, or your violation of any third-party rights.

12. Account Termination

We may suspend or terminate your account immediately and without notice if we reasonably believe you have violated these terms or applicable law. We reserve the right to discontinue the service with 30 days' written notice to all affected users.

13. Intellectual Property

The service, including its software, design, and generated briefings, is proprietary to NightWatch AI. You receive a limited, non-exclusive, non-transferable license to use the service for its intended purpose. You retain ownership of the competitor URLs you submit and any data you provide.

14. Modifications to Terms

We may update these terms from time to time. Changes will be posted on this page with an updated effective date. If a change materially reduces your rights, we will notify you by email at least 14 days before it takes effect. Your continued use of the service after any change constitutes acceptance of the new terms.

15. Governing Law & Disputes

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any dispute arising from these terms shall be resolved in the state or federal courts located in Delaware, and you consent to the exclusive jurisdiction of those courts.
